OpenAI Changes Stance, Affirms Nonprofit Will Maintain Oversight of Business Operations

OpenAI has reaffirmed that its nonprofit wing will maintain control over its profit-oriented organisation, despite an earlier intention to fully transition to a for-profit model. The move comes after OpenAI decided to restructure its business division, which has operated under the nonprofit since its inception in 2015, into a public benefit corporation (PBC). This change will keep the nonprofit as the principal stakeholder and overseer of the PBC.

Bret Taylor, Chairman of OpenAI’s Board, stated that the organisation was established as a nonprofit and this structure will remain in place. The decision to retain this control followed discussions with civic leaders and input from the Attorneys General of Delaware and California, signifying the importance of ensuring that advancements in artificial intelligence benefit all of humanity.

Originally founded as a nonprofit in 2015, OpenAI transitioned to a “capped-profit” model in 2019 which allowed for profit generation but without completely relinquishing its nonprofit roots. The current setup enables the nonprofit to maintain a controlling interest in the for-profit counterpart while aiming to foster funding for charitable initiatives in critical sectors, including healthcare and education.

However, the planned conversion back to a for-profit model faced opposition, particularly from Elon Musk. Musk has initiated legal action against OpenAI, claiming that it has strayed from its core mission of utilising artificial intelligence to benefit humanity at large. Although a federal judge denied Musk’s request to halt the conversion process, the lawsuit has been allowed to proceed to a jury trial slated for spring 2026.

Adding further complexity, a group of former OpenAI employees has filed an amicus brief supporting Musk’s position, signalling discontent with the direction the company is heading.

As OpenAI navigates these challenges, the urgency to implement its profit model is increasing. It must complete the transition by year-end or face potential setbacks regarding the substantial capital it has attracted recently. This situation raises uncertainty about the company’s future operations and its commitment to its original nonprofit mission now that it is reconsidering its structural approach.
